Box 2880, Dallas, Texas 75221-2880, a Delaware Corporation, "Assignor", for and in consideration of One Hundred and No/100 Dollars ($100.00) and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, does hereby GRANT, BARGAIN, SELL, CONVEY, ASSIGN, TRANSFER, SET OVER and deliver unto AMEROX ACQUISITION CORP., 2100 NCNBCenter, 700 Louisiana, Houston, Texas 77002, a Delaware corporation, "Assignee" , pursuant to that certain Agreement for Purchase and Sale of Oil and Gas Properties dated September 22, 1989 by and between Oryx Energy Companyand Assignee (the "Purchase Agreement"), subject to the Permitted Encumbrances (as defined in the Purchase Agreement), all of Assignor1s undivided interest in and to those oi 1 and gas leases, oil, gas and mineral leases, surface leases, royalties, minerals, and fee lands, listed and described on Exhibit A, including all amendments, extensions and ratifications thereof (the "Leases"), insofar as such Leases cover and affect the lands and depths described in Exhibit A (the "Lands"), including in each case all of Assignor's working interests, reversionary interests, net profits interests, net revenue interests, and any other similar or dissimilar interests
