Kindee Oil & Gas Texas, LLC, General Partner of Kindee Oil & Gas, LP ("Kindee") has been provided with a copy of your letter dated December 22, 2006 addressed to Paul Black of BNP Petroleum Corporation ("BNP"). In such letter, Padre Island National Seashore ("PINS") requests documentation evidencing BNP's right to operate on the oil and gas leases covering the proposed wells situated on State Tract 991 of the Gulf of Mexico adjoining Padre Island. This letter shall address such request. BNP and Kindee are parties to one or more exploration agreements whereby BNP and Kindee have agreed to jointly explore for oil and gas underlying the lands covered by such exploration agreements. State Tract 991, and the subject wells are governed by such exploration agreements. Enclosed herewith you will find a copy of Kindee's lease covering State Tract 991. Kindee is the successor to Novus Oil & Gas, LP, the named lessee under such lease. A copy of the documentation evidencing such name changes is also enclosed herewith. Pursuant to the terms of the enclosed oil and gas lease, along with the exploration agreements described generally above, please be advised that BNP Petroleum Corporation does in fact have the right to operate the subject wells with bottom hole locations underlying State Tract 991. Furthermore, to the extent necessary, this letter is intended to serve as Kindee's designation of BNP as operator with respect to such wells.
